Welcome to the Niax Systems website. By accessing or using our website and services, you agree to comply with these Terms of Service. If you do not agree, please refrain from using our services.

1. Overview

Niax Systems OÜ (Registration Code: 17434317) is a professional service provider registered in Estonia. We offer accounting, financial compliance support, and international business consulting for entrepreneurs and e-Residency companies.

Disclaimer: Niax Systems OÜ is not a regulated financial institution and does not provide banking services. We also do not provide legal or tax advice. Our services are limited to business support, accounting assistance, and compliance preparation.

 

2. AML and KYC Compliance

As an Estonian service provider, we strictly adhere to Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations.

  • We reserve the right to request identity verification and proof of funds from clients.

  • We may refuse or terminate services if a client fails to provide required documentation or if there is suspicion of unlawful activity.

Where required by law, suspicious activities may be reported to the relevant authorities.

3. Client Responsibilities

Clients are solely responsible for:

  • Providing accurate, complete, and truthful information.

  • Ensuring their business activities comply with all applicable local and international laws.

  • Providing required documentation in a timely manner to allow Niax Systems to perform the agreed services.

4. Payments, VAT, and Fees

  • Service fees are communicated and agreed upon before engagement.

  • VAT: All fees are subject to Estonian VAT (if applicable) unless a valid VAT ID from another EU member state is provided.

  • Late Payments: We reserve the right to charge interest on late payments in accordance with Estonian law (Law of Obligations Act).

  • Failure to pay may lead to immediate suspension of services.

  • All service fees are exclusive of VAT unless otherwise stated.

5. Limitation of Liability

To the maximum extent permitted by law, Niax Systems OÜ shall not be liable for any indirect, incidental, or consequential damages (including loss of profits).

  • Liability Cap: Our total liability for any claim arising out of our services shall not exceed the total fees paid by the client to Niax Systems during the six (6) months preceding the claim.

  • Nothing in these Terms excludes or limits liability where such limitation is not permitted by law.

6. Data Protection (GDPR)

We process personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy. By using our services, you consent to such processing.

7. Termination

Either party may terminate the service agreement with a written notice (email) at least 30 days in advance. We reserve the right to terminate services immediately if the client breaches these terms or engages in illegal activities.

8. Force Majeure

Niax Systems is not responsible for any delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, strikes, or interruptions in telecommunications/banking infrastructure.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia.

  • Any disputes arising from these terms shall be settled through negotiations.

  • If no agreement is reached, the dispute shall be resolved in the Harju County Court (Harju Maakohus) in Tallinn, Estonia.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
